Terms & Conditions for Labcoin

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THIS SERVICE. By accessing, downloading, or using the Service, you acknowledge that you have read, understood and agreed to these Terms and any code of conduct that we may put forth from time to time. If you do not agree to these Terms, you may not access or use the Service. We may update and modify the Terms from time to time, and your continued use means you accept those modifications.

1. What Services Do These Terms Cover?

These terms of use ("Terms") cover the following products and services ("Service") operated by or otherwise made available by Lab Industries Ltd (Bulgaria, Varna, region Odesos, bul. Knqz Boris I, 66), Unbelievable Digital Ltd (Bulgaria, Varna, region Odesos, str. Sofia 1), or their affiliates ("Labcoin", "we", "us", "our"):

• labcoin.bg
• All apps published by Labcoin for social media platforms, mobile devices or other platforms ("Apps"), unless otherwise indicated in the app
• All other interactive features, services, and communications provided by Labcoin

These Terms apply however the Service is accessed and/or used.

2. Agreement Between You and Labcoin

By using the Service, you agree to these Terms. Where you permit a minor to use the Service, you also agree the minor will adhere to the Terms. Labcoin’s Privacy Notice (https://app.labcoin.bg/policies/privacy) explains our collection, use, transmission, and disclosure of personal information; by agreeing to these Terms, you confirm you have read and understood the Privacy Notice.

3. Intellectual Property, Service Content, and User Submissions

Unless otherwise noted, all content on the Service (including artwork, coin designs, screenshots, graphics, logos, downloads, and other files) is the property of Labcoin and protected by EU and international intellectual property laws. Third-party trademarks and copyrights are owned by their respective owners.

All communications, feedback, and other materials submitted to the Service are non-confidential and non-proprietary. Subject to applicable law, you waive claims related to our use of that material and grant Labcoin a perpetual, royalty-free, worldwide license to use, transmit, copy, and display such submissions in any media, representing that you have all necessary rights. Report errors or problems confidentially to Labcoin Customer Service (e.g., via labcoin.shop on Instagram). Opinions and information expressed by third parties are their own; you should not rely on them, and Labcoin is not liable for decisions based on such information.

4. User Rights and Restrictions

You may use Service content for personal, noncommercial home use only. You may not:

• Change or remove copyright or other proprietary notices
• Modify or create derivative works based on the content
• Use or facilitate unauthorized third-party software (e.g., bots, mods, hacks, scripts)
• Use content in a manner suggesting association, causing confusion, disparaging Labcoin, being exploitative, or infringing IP
• Download quantities of content to a database
• Decompose, disassemble, or reverse engineer any part of the Service or use it outside its intended operations
• Develop functionally similar products or services
• Use the Service for the benefit of or transfer access to a third party
• Use the Service or content for commercial purposes, including selling access or placing ads/sponsorships/promotions
• Avoid, circumvent, or disable security or DRM mechanisms
• Infiltrate systems used to operate the Service
• Cause or exploit malfunctions, bugs, or defects
• Circumvent restrictions based on age, geography, or other limitations

You must comply with applicable laws (IP, defamation, privacy, obscenity, etc.). You are solely responsible for maintaining confidentiality of your account credentials; Labcoin is not responsible for losses from unauthorized use. We may suspend or terminate your access at any time with or without notice.

5. Conduct and Community Standards

You are prohibited from posting or transmitting material that could interfere with others’ use, be abusive/illegal/indecent/obscene/offensive/threatening, encourage unlawful activity, violate IP rights, invade privacy, contain viruses/harmful components, or contain false/misleading statements. We may monitor or review communications but are not obligated to; we may change, edit, or remove materials violating policies and will cooperate with law enforcement requests.

6. The Labcoin Game

Labcoin is an online game relying on distribution of physical 3D-printed tokens ("labcoins") to be searched and found. Found tokens become property of the finder and may be collected, exchanged, or otherwise used in compliance with these Terms and applicable copyrights. There are two main player types: hiders (place tokens in public, freely accessible, and safe areas) and hunters (receive information via app game modes and compete to obtain tokens). Some modes may require additional actions for a valid acquisition. The online application exchanges information on locations and requirements, and acquired tokens are marked as “found.”

Game mechanics are fueled by a virtual currency named Hex, acquired daily or via tasks (e.g., quizzes or rewards for finding tokens). Hex can be spent on in-game instruments and auctions. Other assets such as skins augment gameplay and can be obtained during play. Virtual assets (Hex, skins) can be exchanged between players. Labcoins, Hex, or any game asset cannot be exchanged directly for money; assets are acquired only through gameplay mechanics. The game can be played free of charge, subject to these Terms and applicable requirements. An optional paid expansion ("Labpass") can augment the experience. Gameplay is moderated by administrators who monitor behavior for rule, ethical, and legal compliance. All participants must follow these Terms.

7. Safety Rules

During the game, all players must adhere to the following safety rules:

• It is prohibited to climb onto dangerous places (roofs, construction sites, other risk areas), as well as to cross roads outside of designated pedestrian crossings
• Avoid contact with strangers.
• Conflict situations and confrontation with other participants (hunters or hiders) are prohibited.
• Persons under the age of 14 may participate only with the express permission of a parent/guardian or under their supervision.
• In the late hours (after 10:00 PM), persons under the age of 18 may participate in Labcoin-related activities only if accompanied by a parent or guardian.

8. Game Rules

Play rules define the game experience and are continually refined. Strict adherence ensures a fair, carefree experience; violations may result in fines (in Hex), temporary or permanent bans, or other measures determined by the Labcoin team. The latest rules are available at https://app.labcoin.bg/game-rules without account requirements and are subject to change.

8.1. Player Responsibility for Safe Conduct

Labcoin provides only general clues and information about the locations of Labcoins. All hiding places are intended to be accessible without damage to property, without entry into private or restricted areas, and without creating any danger. If a location is indicated (for example, “in a garden”), this refers only to safe, publicly accessible parts of that area and does not authorize you to dig, damage, trespass, or otherwise act unreasonably.

Some Labcoins may be hidden in a way that requires light digging or uncovering. Where this is the case, the requirement will be clearly stated in the clue or instructions. Players must limit their actions strictly to what is expressly indicated (e.g., digging in a marked spot) and must not excavate, damage, or disturb other areas.

Labcoin hides tokens only in safe and lawful places. Any digging or searching beyond the provided instructions, in private property, restricted areas, or in a manner likely to cause damage, is strictly prohibited. Labcoin is not responsible for property damage, injury, or legal consequences arising from participants ignoring or exceeding the given instructions.

By participating in the game, you agree to exercise good judgment and caution at all times. Labcoin is not responsible for any damage to property, injury, or legal consequences that result from ignoring instructions, breaching the Game Rules, or acting in a way that a reasonable person would consider unsafe, destructive, or unlawful.

9. Labcoin Events

Events may occur countrywide and can be organized by independent third parties (e.g., fans). We may post information received about such events (schedules, locations). Labcoin uses reasonable efforts to include accurate and up-to-date information but makes no representations or warranties about its accuracy or completeness.

9.1. Third-Party Events

Labcoin does not organize, control, or endorse third-party events listed in the App. All such events are the sole responsibility of the respective organizers. By displaying information received about these events (including schedules, locations, or other details), Labcoin acts only as an informational intermediary. Labcoin shall not be held liable for any inaccuracies, cancellations, changes, damages, losses, or claims arising in connection with third-party events, including but not limited to issues of safety, security, contractual performance, or compliance with applicable laws. Attendance at or participation in such events is entirely at your own risk and subject exclusively to the terms, conditions, and privacy policies of the respective event organizers.

9.2. Labcoin-Organized Events

Where Labcoin itself organizes and hosts an event, we remain responsible for ensuring compliance with applicable EU and Bulgarian laws, including but not limited to consumer protection, health and safety, and data protection (GDPR). Liability for such events shall be limited to the maximum extent permitted by law, and Labcoin shall not be responsible for indirect, incidental, or unforeseeable damages.

10. Third-Party Products and Services

The Service may contain links to third-party sites, services, and platforms not owned or controlled by us. We are not responsible for third-party content, do not maintain referenced materials, and make no warranties for those sites or for the Service in that context.

11. Labpass

Certain features require purchasing a Labpass (subscription) tied to your account. Labpass may include skins, more daily Hex, and access to Labpass-only labcoins; some features may be unavailable without purchase. Each Labpass subscriber is treated as an individual participant and may take one coin per day; families or groups with multiple Labpasses may each take one coin per day, otherwise one common coin applies to free players per rule 3.2. Account bans with a Labpass are non-refundable. We may suspend or terminate accounts for violations or to support a fair and safe environment. Children may use Labpass with appropriate parental permission.

We may offer opportunities to acquire certain Virtual Content (Labcoins, Hex, skins, etc.) free of charge or as bonuses. Availability, features, content, capabilities, and specifications of Virtual Content may change without notice. Labcoin physical tokens and Virtual Content have no monetary value and are not redeemable for legal currency, services, or items of value outside the Services. Virtual Content is licensed (limited, personal, revocable, non-transferable, non-sublicensable) for use within the Service; you have no property interest in it. We may terminate accounts at our sole discretion.

12. Purchasing Labpass

Charges for Labpass are billed to your payment method by us or our processor. Prices are displayed excluding taxes. You agree to pay all fees and applicable taxes incurred by you or anyone using your account. If payment fails, we may discontinue elevated benefits. You agree not to cancel or reverse charges or attempt to defraud us; if legal action is necessary to collect balances, you will reimburse collection expenses, including attorneys’ fees. ALL PURCHASES ARE NON-RETURNABLE AND NON-REFUNDABLE. If you lose Labpass due to an account problem and we can verify you had it, we will make commercially reasonable efforts to replace it. You will not receive money or compensation for unused Labpass upon account closure or ban, whether voluntary or involuntary, without limiting your EU/Bulgarian statutory rights.

13. Updates and Changes to the Service

We may issue patches or updates required to continue using portions of the Service; you consent to receive and install them. The Service may experience server issues or be terminated in whole or part without notice. You have no recourse for losses (e.g., match loss, Virtual Content loss, or loss of access).

14. Disclaimer

The website and digital services are provided on an “as available” basis; we do not guarantee uninterrupted, error-free service or compatibility with every device or browser. To the maximum extent permitted by law, Labcoin is not liable for indirect, incidental, or consequential damages (e.g., lost profits, opportunities, or data). Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, gross negligence, defective products, or other non-excludable liabilities under Bulgarian or EU consumer protection law. You understand these limitations are a condition of making the services available. If you violate these Terms, we may suspend or terminate your account without reimbursement.

15. Indemnification

You agree to use our website and services in a lawful manner and in accordance with these Terms. You further agree that you will be responsible for any damages, losses, or costs (including reasonable expenses incurred to investigate or resolve the matter) that Labcoin suffers as a direct result of:

• your breach of these Terms,
• your violation of applicable Bulgarian or EU laws when using our services,
• your infringement of the rights of third parties (including intellectual property rights, data protection rights, or privacy rights), or
• your intentional misuse of our website, accounts, or digital products.

This means, for example, that if you use our services to engage in unlawful activity or distribute harmful content, and this results in claims or damages against Labcoin, you may be required to cover those damages.

Labcoin will, however, remain fully responsible for its own actions. This indemnification does not apply to any damages or costs caused by Labcoin’s own negligence, fraud, gross negligence, failure to comply with consumer protection laws, or any other liability that cannot be excluded under Bulgarian or EU law.

If a third-party claim is made against Labcoin in relation to your actions, we may take the lead in defending or resolving that claim. In such a case, we will keep you informed, and we will not agree to any settlement that places unreasonable obligations on you without your prior consent.

16. General Provisions

These Terms, our Privacy Notices, and any additional terms posted on the Service constitute the entire agreement between you and Labcoin regarding use of the Service. Any cause of action related to your use must commence within 1 year after it arises. If a court finds any provision unenforceable, it will be enforced to the maximum extent permissible to effect intent, and the remainder will continue in full force and effect. These Terms are governed by and construed in accordance with the laws of Bulgaria and the EU, excluding conflict-of-laws provisions. This provision survives termination or expiration.
